Intel To Acquire Case Technology

Intel Continues Growth of Networking Business by Adding Case Technology's Award-Winning Fast Ethernet Technology Expertise

HILLSBORO, Oregon, January 16, 1997 -- Intel Corporation today announced it has agreed to acquire Case Technology, based in Copenhagen, Denmark. Case Technology is a subsidiary of Anite Group plc, a London-based technology group. Case Technology's products will become key elements of Intel's strategy for providing customers with a cost-effective range of comprehensive networking solutions to enhance the performance and manageability of today's PC networks.

Intel is purchasing Case Technology for $72 million. The acquisition is subject to Anite shareholder approval, which is expected to be complete by the end of February 1997.

Innovators in Fast Ethernet Technology
Case Technology, which will become an part of Intel's Network Products Division, is an award-winning innovator in Fast Ethernet networking technology. The company has expertise and products in the 10 and 100Mbps Ethernet switching and small business and branch office routing areas. These capabilities will enable Intel, with its worldwide network of resellers, to significantly increase the volume and range of Fast Ethernet products and support delivered via the channel to end users.

Intel was one of the three original companies that developed and promoted Ethernet as an industry standard for high-bandwidth business solutions. Intel has delivered the EtherExpress PRO/100 adapters, the Express Stackable Hub, the Express Switching Hub, and the recently announced Express 10/100 Fast Ethernet Switch to market and has been one of the founding members of both the Fast Ethernet Alliance in 1993 and the Gigabit Ethernet Alliance in 1996.

The Benefits of Fast Ethernet
Intel has identified Fast Ethernet as the strategic networking technology for connecting high-performance Pentium® and Pentium Pro processor-based workstations on the network. Fast Ethernet offers organizations dramatic increases in network performance, especially as companies deploy bandwidth-intensive 32-bit computing solutions on robust, multitasking operating systems such as Windows* 95 and Windows NT. Fast Ethernet optimizes the performance of powerful software, including complex spreadsheets, video conferencing solutions, multimedia authoring tools, desktop publishing packages, and scientific and engineering applications. By preserving the core technology of the proven 10Mbps Ethernet standard, Fast Ethernet ensures a safe, efficient and cost-effective migration solution that integrates easily and seamlessly into existing environments. Using one of its core competencies in silicon development, Intel will provide solutions that will transition users to Fast Ethernet as that technology gains cost parity with 10Mbps Ethernet connections.

A recent report from the Dell'Oro Group consultancy underscores the anticipated growth of Fast Ethernet networking technology and products within businesses. The Dell'Oro Group's 1996 Forecast Update on Shared Hubs and LAN Switches, published in October 1996, notes that Fast Ethernet products will constitute 25 percent of the $10.5 billion Ethernet switch and hub market segments in 1997, growing to 40 percent of the market segment by the year 2000.

Intel Denmark
Case Technology employees will become part of a new organization within Intel's Network Products Division called Intel Denmark. All 146 Case Technology employees will be offered new employment contracts with Intel Corporation. Eric Fullerton, Case Technology's managing director, will join Intel's Reinier Tuinzing in managing the Network Systems Operation, reporting to Christensen. Fullerton's new title will be Network Systems Business Unit Manager, Network Products Division.
