Notice to User:

This is a legal document between you and Intel Corporation ("Intel"). It is important that you read this document before using the Intel® software provided to you under this license agreement ("Agreement") and any accompanying documentation (together referred to as "Intel Code"). By using the Intel Code, you agree to be bound by the terms of this Agreement. If you do not agree, you are not licensed to use the Intel Code, and you must destroy any copies of the Intel Code in your possession or control. Please print a copy of this Agreement for your files.

SOFTWARE LICENSE

Definitions
Intel Code" means the Intel® Mobile Platform Software Development Kit and runtimes, libraries, and sample code including any updates and upgrades thereto, and related documentation provided to you by Intel.

Evaluation License Grant
You as an individual may use the Intel Code only for internal evaluation purposes and only for the term of the evaluation time period (60 DAYS). NOTWITHSTANDING ANYTHING TO THE CONTRARY ELSEWHERE IN THIS AGREEMENT, YOU MAY NOT DISTRIBUTE ANY PORTION OF THE INTEL CODE, AND THE APPLICATION AND/OR PRODUCT DEVELOPED BY YOU MAY ONLY BE USED FOR EVALUATION PURPOSES AND ONLY FOR THE TERM OF THE EVALUATION PERIOD. You may install copies of the Intel Code on an unlimited number of computers provided that you are the only individual using the Intel Code and only one copy of the Intel Code is in use at any one time. A separate license is required for each additional use and/or individual user in all other cases. If you are an entity, Intel grants you the right to designate one individual within your organization to have the sole right to use the Intel Code in the manner provided above. You also agree, within 60 days of receipt, to delete all electronic copies of the Intel Code.

License Restrictions
You may not assign, sublicense, lease, or in any other way transfer to any third party, or distribute any part of Intel Code except as provided in this Agreement. You may not modify, adapt, or translate the Intel Code. You may not attempt to modify or tamper with the normal function of a license manager that regulates usage of the Intel Code.

Protection and Confidentiality
Intel Code is considered Intel confidential information and may include trade secrets of Intel. You may not reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, underlying ideas, underlying user interface techniques or algorithms of the Intel Code by any means whatsoever, directly or indirectly, or disclose any of the foregoing. You may not modify, adapt or translate Intel Code. You shall not disclose or otherwise make any part of Intel Code available, in any form, to any person other than employees within your Company whose job performance requires such access. You agree to instruct all such employees on these obligations with respect to use, copying, protection, and confidentiality of the Intel Code. You may have third party consultants or subcontractors ("Contractors") perform work on behalf of your Company that involves access to Intel Code, provided that such work remains within the scope of the License Grant, and that such Contractors have agreed to confidentiality agreements with your Company that are at least as restrictive as this Agreement. You may not disclose the terms or existence of this Agreement or use Intel's name in any publications, advertisements, or other announcements without Intel's prior written consent. You do not have any rights to use Intel's trademarks. Even after this Agreement terminates, the obligations of this section shall remain in effect until the Intel Code rightfully becomes publicly known.

Copyright
Title to the Intel Code and all copies thereof remain with Intel or its suppliers. The Intel Code is copyrighted and is protected by United States copyright laws and international treaty provisions. You will not remove any copyright notice from the Intel Code. You agree to prevent any unauthorized copying of the Intel Code. Except as expressly provided herein, Intel does not grant any express or implied right to you under Intel patents, copyrights, trademarks, or trade secret information.

Replacements
The Intel Code is provided "AS IS" without warranty of any kind. If the media on which the Intel Code is furnished is found to be defective in material or workmanship under normal use for a period of ninety (90) days from the date of receipt Intel's entire liability and your exclusive remedy shall be the replacement of the media at Intel's sole discretion. This warranty is void if the media defect results from accident, abuse, or misapplication. INTEL IS NOT OBLIGATED TO PROVIDE ANY SUPPORT, ASSISTANCE, INSTALLATION, TRAINING OR OTHER SERVICES. INTEL WILL NOT PROVIDE ANY UPDATES, ENHANCEMENTS OR EXTENSIONS.

Limitation of Liability
THE ABOVE REPLACEMENT PROVISION IS THE ONLY WARRANTY OF ANY KIND. INTEL OFFERS NO OTHER WARRANTY EITHER EXPRESS OR IMPLIED INCLUDING THOSE OF MERCHANTABILITY, NONINFRINGEMENT OF THIRD- PARTY INTELLECTUAL PROPERTY OR FITNESS FOR A PARTICULAR PURPOSE. NEITHER INTEL NOR ITS SUPPLIERS SHALL BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE INTEL CODE, EVEN IF INTEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

Unauthorized Use
THE MATERIALS ARE NOT DESIGNED, INTENDED, OR AUTHORIZED FOR USE IN ANY MEDICAL, LIFE SAVING OR LIFE SUSTAINING SYSTEMS, OR FOR ANY OTHER APPLICATION IN WHICH THE FAILURE OF THE INTEL CODE COULD CREATE A SITUATION WHERE PERSONAL INJURY OR DEATH MAY OCCUR. Should you purchase or use the Intel Code for any such unintended or unauthorized use, the you shall indemnify and hold Intel and its officers, subsidiaries and affiliates harmless against all claims, costs, damages, and expenses, and reasonable attorney fees arising out of, directly or indirectly, any claim of product liability, personal injury or death associated with such unintended or unauthorized use, even if such claim alleges that Intel was negligent regarding the design or manufacture of the Intel Code.

User Submissions
You agree that any material, information or other communication, including all data, images, sounds, text, and other things embodied therein, you transmit or post to an Intel website or provide to Intel will be considered non-confidential ("Communications"). Intel will have no confidentiality obligations with respect to the Communications. You agree that Intel and its designees will be free to copy, modify, create derivative works, publicly display, disclose, distribute, license and sublicense through multiple tiers of distribution and licensees, incorporate and otherwise use the Communications, including derivative works thereto, for any and all commercial or non-commercial purposes.

Term and Termination
You may terminate this Agreement and the license granted herein at any time by notifying Intel in writing. If you fail to abide by the provisions of this Agreement, Intel may immediately terminate this Agreement by written notice to you. Intel's right to terminate this Agreement is in addition to any other rights Intel may have. If this Agreement is terminated for any reason, you will, at Intel's option and within thirty (30) days following termination, either return to Intel or destroy the original and all copies of Intel Code and certify to Intel that they have been destroyed.

General
Any claim arising under or relating to this Agreement shall be governed by the internal substantive laws of the State of Delaware, without regard to principles of conflict of laws. Intel Code may be controlled for export purposes by the U.S. Government. You will not export, either directly or indirectly, Intel Code without Intel's prior consent and without first obtaining any required license or other approval from the U.S. Department of Commerce or any other agency or department of the United States Government as required. This is the entire agreement between you and Intel relating to this subject matter, and no amendments will be effective unless they are in writing and signed by authorized representatives of both parties. You may not assign this Agreement or any part of it except with Intel's prior written consent. The terms and conditions stated herein are declared to be severable. If any paragraph, provision, or clause in this Agreement shall be found or be held to be invalid or unenforceable in any jurisdiction in which this Agreement is being performed, the remainder of this Agreement shall be valid and enforceable and the parties shall use good faith to negotiate a substitute, valid and enforceable provision which most nearly effects the parties' intent in entering into this Agreement.

U.S. Government Restricted Rights
The Intel Code is provided with "RESTRICTED RIGHTS." Use, duplication or disclosure by the Government is subject to restrictions set forth in FAR52.227-14 and DFAR252.227-7013 et seq. or its successor. Use of the Intel Code by the Government constitutes acknowledgment of Intel's rights in them.
